Thanks A Million Member Agreement

Definitions
1. Thanks A Million Ltd. ("TAM") is the company that owns and runs the Thanks A Million Corporate Loyalty Programme ("Programme").
2. A "Member" is an employee of a company or concern who has enrolled in the Programme, using the registration process at the TAM website, for the purposes of booking corporate events and other business through TAM in order to earn TAM Points for themselves or their company.
3. A "Partner" is an establishment or company agreeing to be part of the Thanks A Million network of Partners.
4. An "Event" is defined as an event, such as a sales conference or corporate meeting, or certain other business, which has been booked by a Member with a Partner using the agreed booking or ordering procedure.
5. A TAM "Point" is a reward awarded to Members by Partners or TAM redeemable at Partner establishments. One TAM Point is equivalent to one Euro worth of goods or services from a Partner.
6. Each Member will have a TAM "Account" that records TAM Points awarded and redeemed.

The Service
TAM provides companies and/or employees with a mechanism to earn TAM Points when they book and pay for business events or items at a Partner establishment or anywhere else and to redeem those Points anywhere within the Partner network.

Agreement
TAM agrees to:
Ø Administer all aspects of the Programme including communicating with Members, providing the Points awarding and redeeming system, and building and liasing with the Partner network.
Each Member agrees to:
Ø Be bound by the terms and conditions of this Agreement
Ø Follow in particular the booking and redemption procedures outlined below

Booking
1. When making a booking, the Member must confirm that they're a Thanks A Million Member  to the Partner, in order to qualify for TAM Points on foot of the event or business. If they do not do so, the Partner is under no obligation to award Points to the Member for that event or order. Or Members can earn TAMs anywhere by coming to TAM first who will come up with options and make the booking.
2. Following each confirmed booking, the Partner is obliged to input the booking on the Thanks A Million system. This will generate an automatic email to the Member confirming the booking has been registered as a TAM booking. If a Member does not receive this email, (s)he should contact the Partner to ensure the booking is inputted otherwise the booking will not result in TAM Points being awarded.
3. The awarding of Points for an Event is mutually exclusive from any other loyalty, reward or commission based programmes or agreements. If a Member wishes to earn TAM Points for booked business, that Member foregoes the right to any other reward or commission based on existing agreements or schemes such as hotel loyalty programmes.


Points awards and redemptions
1. Points will only be awarded after payment has been received by a Partner in full, from a Member or their company, in relation to a valid Event. Each award will be based on the final business value of the Event excluding VAT e.g. a conference costing €10,000 excluding VAT will attract 500 TAM Points based on a 5% award value.
2. From time to time, Bonus Point promotions may be run. All such promotions are invalid unless they are promoted to Members directly by TAM. Partners may not agree bespoke promotions directly with a given Member. All Bonus Point promotions must be approved by TAM.
3. TAM reserves the right to cap the amount of Points awardable by any Partner at any time to any Member and may revoke any number of points, either debited or credited to a Member account, at any time in its sole discretion.
4. TAM Points may be spent anywhere in the Thanks A Million network of Partners providing the correct redemption procedure is followed as outlined in the point below.
5. To spend TAM Points, Members must book in advance, tell the Partner at time of booking that settlement will be by using their TAM Points and give their TAM Membership number. Once the Partner has taken the booking, the Partner may deduct any percentage of the booking value from the Member Account in TAM Points as advance payment for that booking. Once the reward has been spent, the Partner will deduct any further appropriate number of TAM Points from the Member Account. If the Member cancels the booking or order the Points are not refundable by the Partner unless that Partner chooses to do so in their sole discretion.
6. The minimum amount of business where TAM Points are awardable is €500. Partners may award Points on business values of less than €500 at their sole discretion.
7. The minimum amount of Points that may be redeemed at a Partner establishment is 100 TAM Points.

TAM Points
1. TAM Points do not expire providing a Member Account is active. A Member Account is defined as active providing that Points have been earned, redeemed or a TAM booking has been made in the preceding 15 months on the Member Account.
2. Points may not be transferred from one Member Account to another except in TAM's sole discretion.
3. Under no circumstances is a cash amount given to Members on foot of TAM Points earned.

General
1. It is each Member's responsibility to adhere fully to their company policy, and any other obligations, in relation to programmes such as Thanks A Million.
2. Members are solely responsible for the consequences of a breach in password security that results in inappropriate access to their TAM account.
3. TAM reserves the right to terminate the Programme at any time and to change the Programme terms and conditions at any time.
4. TAM reserves the right to terminate any Member Account at its sole discretion.
5. TAM will, in no way, be held responsible for any act or act of omission affecting a Member by any Partner.
6. Fraud or abuse relating to the awarding and redemption of Points will result in the forfeiture of Member Points and cancellation of the Member Account.
7. TAM will not be liable for any fraud, errors or unauthorised use of the internet based functions of the system.
8. TAM's failure to enforce a particular term or condition does not constitute a waiver of that term or condition or any other term or condition of this Agreement.
9. All questions or disputes regarding the Programme will be resolved by TAM in its sole discretion.
10. TAM will not be liable for any failure to perform any of our obligations, under this Agreement, where such failure arises through war, civil disturbance, equipment failure or any other circumstances beyond our control.
11. This Agreement is subject to the laws of Ireland.
The Circuit Court of the City of Dublin shall have jurisdiction to determine any disputes arising under this Agreement.
